Open Invitation to Submit Offers for the Grant of a Non-Exclusive License

Atende Industries sp. z o.o., with its registered office in Warsaw (ul. Ostrobramska 86, 04-163 Warsaw, Poland; KRS 0000871408, NIP 1133023822), acting as leader of the contractor consortium for the project “Combined Heat and Power Plant in a Local Energy System” (“Elektrociepłownia w lokalnym systemie energetycznym”), carried out under Agreement No. 88/21/PU/P63-05 concluded with the National Centre for Research and Development (NCBR), hereby issues to all interested parties an open invitation to submit offers for the grant of a paid, non-exclusive license to use the research and development results relating to the Technological Component of the developed Solution, together with the necessary materials.

Subject of the license

The license covers the use of the R&D results relating to the Technological Component of the Solution and — to the extent necessary to use those results — the associated materials.

The “Combined Heat and Power Plant in a Local Energy System” project involves conducting simulations of the intelligent management of a local combined heat and power system, including the development of models and algorithms for data collection and processing, demand forecasting, and the optimisation of electricity and heat storage and consumption. The technology is intended for use in the modernisation of local district heating and electricity systems, particularly to ensure stable and economically efficient supplies of heat and electricity, with at least 80% of the energy derived from renewable energy sources.

Licensing terms

  • The license is non-exclusive and for consideration (paid).
  • It is granted on market terms, in accordance with FRAND principles — fairly, properly and in a non-discriminatory manner towards any party.
  • The license fee is determined individually, on market terms, taking into account, among other things, the scope, manner, territory and number of uses covered by the interested party’s offer.
  • The technical conditions for the transfer and use of materials may be set in a manner protecting the Contractor’s business secrets, while remaining consistent with market terms.

Period of validity

This invitation remains open for a period of not less than 10 years from the completion of Stage I of the project, but no longer than until the Contractor disposes of the rights to the R&D results relating to the Technological Component, in the cases permitted by the Agreement.

Reservation

The Contractor may refuse to grant a license in the cases permitted by the Agreement, in particular where there is a high risk of the results being used in breach of the license terms or of fair competition, as well as with respect to entities from outside the European Economic Area located in a jurisdiction that does not adequately protect the rights to the R&D results.


In the event of any discrepancy between the Polish and English versions, the Polish version prevails.
